Spacelabs Healthcare: Price Reductions for DLA Buyers

Whistleblower Justice Network

In the Spacelabs Healthcare settlement, the company agreed to pay $2.5 million to resolve allegations that it overcharged the Department of Veterans Affairs and the Department of Defense for patient monitoring equipment by failing to pass on promised price reductions. Two former employees who worked on government business brought the whistleblower case, which concerned lower commercial prices that the government said it should have received.

The Justice Department announced the civil settlement on February 13, 2023. The allegations connected a VA price-reduction obligation to a related clause in a Defense Logistics Agency contract. For someone in government sales, this is a recognizable contract discount problem: a price offered to another customer can change what the government is entitled to pay.

The Commercial Price Behind the VA and DLA Allegations

The government alleged that Spacelabs failed to follow the Price Reductions Clause in its VA contract from 2014 through 2019. That clause required the company to give the government certain lower prices it offered to another customer. According to the Justice Department, failing to pass those prices through left the government paying too much for the equipment.

The settlement also resolved allegations that Spacelabs failed to follow a related clause in its DLA contract. For these equipment purchases, the payment terms connected what the government owed to a promise about other customer prices. We follow that promise through the equipment sale, the contract and its changes, and the payment request.

We see a bargain that allegedly worked only for the seller: the government had negotiated access to certain better prices, yet kept paying more when those prices became available. A promise of a discount has little value to the taxpayer if it never reaches the bill.

Who Brought the Spacelabs Qui Tam Case?

A former Spacelabs Government Business Specialist and a former Government Accounts Manager brought the claims under the whistleblower provisions of the False Claims Act. Their qui tam case was part of the civil settlement. The VA Office of Inspector General assisted the Justice Department and the United States Attorney’s Office for the District of Columbia in the resolution.

The Settlement and the Whistleblower’s Share

The Justice Department said the former employees would receive a portion of the resolution for bringing their claims. A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. In a defense contractor whistleblower case, we connect what you know about the price to the government’s purchases and the company’s contractual promises.

What a Pricing Insider Can See

For an allegation like this, the useful evidence connects the lower commercial offer to the government bill. The contract supplies the obligation, the commercial offer supplies the price comparison, and the government order and invoice show the affected purchase. We examine them together because each answers a different part of the pricing question.

A pricing employee may recognize a discount approval or a revised customer offer. A government-sales or contract-administration employee may recognize the reduction promise and the orders to which it applied. An accounts employee may know whether the government price changed or a credit followed. These are different views of the same possible gap between a price promised and a price charged.

The dates matter for that comparison. A lower commercial offer has to be connected to the relevant obligation and government sales, so we look at when the offer changed and what happened to the account afterward. If you saw that change inside the business, you may be able to explain why a government invoice still carried the old price.

The customer and the equipment matter as much as the date. A commercial offer identifies what was being sold and to whom; the contract connects that offer to the government’s price. We want to understand that connection from someone who knows the accounts, including how a changed offer reached the people responsible for government pricing.
