Foreign Corrupt Practices Act: The Payment Buys the Decision, the Books Hide It

Whistleblower Justice Network

FCPA stands for the Foreign Corrupt Practices Act, the U.S. law addressing foreign bribery and the company books and accounting controls that can conceal it. A consultant’s invoice, a distributor’s discount or a job offered to an official’s relative can carry the real story. If you know what the payment bought and why the company described it differently, you may know the part an investigator cannot see from outside.

The Business Behind an FCPA Case

Foreign bribery can enter the business wherever an official controls something the company needs: a contract, a permit, an inspection, financing or access to customers. The person authorizing the payment, the intermediary receiving it and the official benefiting from it may sit in different companies and countries. An invoice records one part of that transaction. The pending business decision explains why it happened.

An agent arranges local services or introductions. A distributor buys and resells products, sometimes with a supplier-approved discount. A subsidiary pays local expenses while the parent consolidates its accounts. Each relationship leaves payment records that can connect the business to the ultimate beneficiary.

What Conduct Can Violate the FCPA?

The Foreign Corrupt Practices Act prohibits corrupt offers, promises, authorizations or payments of money or anything of value to foreign officials to obtain or retain business. As the Justice Department’s overview explains, the offer can run through an intermediary. The official need not receive the money, and the company need not win the contract, for an offer or authorization to matter.

The separate books-and-records and internal accounting controls provisions require covered public companies to record transactions accurately and maintain controls over company assets. False expense descriptions and failed approval controls can violate those accounting duties. The accounting duties reach beyond bribery itself. Calling a payment a processing fee does not change what it bought.

Who Is a Foreign Official?

A foreign official can work inside the customer, including a public hospital or state-controlled enterprise. Government control and the function the organization performs matter. For an insider, that makes the doctor’s purchasing authority, the bank officer’s influence or the telecom official’s licensing power part of the commercial story.

The Foreign Corrupt Practices Act’s anti-bribery provisions also reach covered political parties, party officials and candidates. A payment made through a foundation, consultant or relative can still deliver value to the person controlling the decision.

The Foreign Extortion Prevention Act addresses the demand side of foreign bribery under its own requirements. For someone who received an official’s demand, the request and the business decision attached to it are part of the account we need to understand.

Which Companies Can Be Covered?

The foreign bribery law covers U.S. businesses, including private companies, and U.S. citizens and residents. Foreign companies can also come within its reach through U.S. securities registration, reporting obligations or acts in the United States.

The U.S. connection is part of what we assess with you. Approval messages, ownership records and payment instructions help explain who acted for whom and where the transaction crossed borders.

Why Foreign Bribery Pays

The commercial prize can dwarf the payment. In its deferred prosecution agreement, Scoular admitted bribing Mexican officials through customs brokers to pass agricultural shipments despite failed impurity inspections. The Justice Department’s account put the bribes at more than $400,000 and the avoided fees and costs at more than $6.5 million. Brokers billed the payments as reinspection fees.

We see the incentive in those numbers: paying to get a shipment through could cost much less than dealing with the failed inspection. The honest business still has to satisfy the official requirements. A competitor who knows the tender or product may recognize the advantage before anyone sees the payment.

Reporting incentives can change company behavior too. The 2019 working paper Do Corporate Whistleblower Laws Deter Accounting Fraud?, hosted by MIT Sloan, studied companies exposed to state False Claims Acts through state pension-fund ownership. It reported a 5% to 9% reduction in the estimated likelihood of accounting fraud after exposure to those laws.

How the Records Connect the Payment to the Decision

Foreign bribery whistleblower evidence connects the business decision, the promised benefit and the record used to approve or conceal it. A consultant’s contract identifies the supposed work. The invoice, bank transfer, actual deliverables and beneficiary explain whether that description matches what the company bought.

The useful discrepancy may lie between departments. Sales staff and distributor employees can know the customer’s actual price, while finance staff see the discount approval or expense entry. Human resources may hold the referral request, and compliance may hold the earlier warning. Together, those records can explain a transaction that looks ordinary in any one system.

Knowledge connects the intermediary’s payment to the people directing the business. An instruction to use a particular consultant, a warning about the consultant’s ownership and the decision to approve another payment can show who understood the arrangement. The most useful account explains both what the employee saw and what the people approving the payment were told.

The SEC’s complaint against RAE Systems alleged that sales personnel at a Chinese joint venture supported expenses with genuine receipts from different transactions. The document makes the distinction unusually clear:

In fact, when fapiao were unavailable or insufficient to cover the expenses incurred, KLH sales personnel often submitted substitute fapiao-that is, fapiao that were genuine but that were not issued for the specific expense incurred.

Securities and Exchange Commission v. RAE Systems Inc., SEC complaint, paragraph 12

The allegation was about what those receipts supposedly supported. A real receipt could give a false expense the appearance of documentation. We would want to understand the cash advance, the claimed expense and the business the payment was intended to secure.

Third-party due diligence and the response to warnings supply another part of the story. An approval can mean something very different when the reviewer received an edited questionnaire, an incomplete ownership account or a contract backdated to make the work appear finished. The employee who knows what was removed can explain more than the final document does.

Who Enforces the FCPA and Who Benefits From Reporting

The Justice Department handles criminal enforcement of the Foreign Corrupt Practices Act and certain civil anti-bribery matters. The Securities and Exchange Commission handles civil enforcement involving issuers, including books and accounting controls. A company can face both agencies over the same transactions, as well as enforcement in other countries.

In foreign bribery cases and settlements, the company’s own admissions can explain who approved a payment and what it bought. The records behind those admissions can connect a local expense to decisions made higher in the business.

Is the FCPA Still Enforced?

Yes. In July 2026, Scoular admitted foreign bribery under a deferred prosecution agreement, after the 2025 pause. The February 10, 2025 executive order generally paused new Justice Department matters and ordered a review. The June 9, 2025 guidelines then set priorities including cartel connections, harm to American competitors, national security and serious misconduct.

The policy changed enforcement priorities while the statute remained in place. Evidence of the payment, its business purpose and its concealment still gives an insider something concrete to bring forward.

What Money Determines the Reward?

The reward depends on the program and the qualifying money actually collected. Foreign bribery whistleblower programs offer different benefits to different people. The SEC’s program can pay eligible whistleblowers 10% to 30% of qualifying collected sanctions. The SEC action must order more than $1 million in sanctions.

The Justice Department’s separate corporate whistleblower awards pilot uses qualifying net forfeiture proceeds, the money obtained through taking assets connected to wrongdoing. Its July 30, 2026 terms cover foreign bribery by private companies too. That gives someone inside a privately held business a reason to discuss a potential reward with us.

The other benefits concern the person or company reporting its own conduct. The individual self-disclosure policy concerns a possible agreement not to prosecute. Corporate self-disclosure can benefit the company through a decision not to prosecute or other resolution terms. The company’s cooperation credit and the employee’s reward are separate questions.

You need not work for the company to give the SEC information about it. A broker, distributor employee or competing bidder may know the transaction from the other side. We assess the reward opportunities, including related-action awards, with you and foreign bribery whistleblower lawyers who understand how the programs interact.

Can I Sue Privately Under the FCPA?

The Foreign Corrupt Practices Act has no private enforcement action or qui tam route, as the Justice Department and SEC Resource Guide explains. Reporting foreign bribery can instead lead to agency enforcement and a separate whistleblower award claim. A whistleblower case under the False Claims Act, the separate law addressing fraud against government money, can pay 15% to 30% of what the government recovers.

Our work starts with the transaction and the law it actually fits. If you are considering reporting foreign bribery, we help develop the case and bring in foreign bribery whistleblower lawyers who know SEC award cases.

Can I Report If I Am Outside the United States?

People outside the United States can provide information and qualify for SEC awards under the program’s rules. Your role, the company and the transactions give us the starting point for assessing the opportunity. Questions about anonymity or your own involvement belong in a conversation with our whistleblower experts and the foreign bribery whistleblower lawyers we bring into your case.

The Foreign Bribery Patterns Insiders Recognize

The same business advantage can be bought through different payment channels. These cases show where the benefit entered the transaction and where the company records concealed it.

Commissions and Consulting for Work Nobody Did

Sham consulting contracts can supply the paperwork for a payment whose real purpose is official influence. Under its deferred prosecution agreement, Magyar Telekom admitted using false success-fee contracts under which no valuable performance occurred. We see the cover in that mismatch: a service contract with no service.

Procurement Decisions Bought Before the Award

Procurement bribery can buy an advantage before a tender is awarded. In its deferred prosecution agreement, Vitol admitted using sham consulting and market-intelligence invoices to buy trading information and a last look at competing bids. The advantage sits in the bidding process as well as the bank transfer.

Discounts the Government Customer Never Received

Distributor discounts can create a fund between the supplier’s price and what the government customer actually pays. In its non-prosecution agreement, Microsoft Hungary admitted that employees used false justifications to obtain discounts and resellers retained margin for improper payments. The approval said the customer needed a lower price. We see the absurdity: the discount funded improper payments while the customer paid without it.

Travel and Studies That Bought Prescriptions

Travel and hospitality can carry a benefit tied directly to sales. Under its deferred prosecution agreement, Novartis Hellas admitted sponsoring congress attendance for Greek public-sector doctors in exchange for increased prescribing. It also admitted repurposing a study to increase prescriptions. The pharmaceutical bribery pattern connects the sponsorship or study payment to the doctor’s prescribing decisions.

Charitable Payments With a Commercial Purpose

Charitable payments of more than $90,000 went to a government charity run by a doctor to obtain contracts, Fresenius Medical Care admitted in its non-prosecution agreement. The worthy-sounding description did not explain the commercial exchange.

Customs Bribery Through the Broker

Customs bribery bought passage through failed inspections in Scoular’s case. An insider who knows why the shipment failed inspection can connect the broker’s charges to the decision that got it moving.

Permit Payments Disguised as Services

Permit bribery can hide in the services billed to get a store open. In its non-prosecution agreement, Walmart admitted control failures involving Mexican intermediaries who obtained permits through improper payments, with invoices describing legal services and codes carrying the payments’ real purpose. Store budgets described external or contract services.

Walmart’s admitted facts also describe an investigation returned to subsidiary personnel, including an insider who knew of the scheme. We see the problem with treating an internal review as the end of the inquiry: the person reviewing the payment can be part of its story.

Equity Deals That Buy Official Decisions

Equity transaction bribery was part of approximately $331 million in bribes for entry, spectrum and continued operations in Uzbekistan, Telia admitted under its deferred prosecution agreement. Consulting, equity and asset transactions supplied the commercial form, making the deal documents central to the payment story.

Public Financing and Concealed Intermediaries

Sovereign financing can put public capital through a different chain of intermediaries. Under its deferred prosecution agreement, Goldman Sachs admitted that bankers concealed an intermediary’s involvement in the 1MDB transactions after earlier diligence had rejected him as a client. The approvals and information withheld from reviewers explain how the transactions proceeded.

Kickbacks Hidden in Asset Values

Kickbacks can also sit in an asset’s recorded cost. In its non-prosecution agreement, Petrobras admitted that inflated contracts funded kickbacks and that the inflated costs were capitalized, overstating asset values. The balance sheet carried the consequences of the payment.

Hiring That Buys Banking Business

Hiring bribery puts the benefit in a job offer. In its non-prosecution agreement, JPMorgan’s Asia Pacific securities business admitted using referral hiring to obtain banking mandates. Spreadsheets linked hires, referring clients and revenue, while false questionnaires concealed the expected benefit. Recruitment and compliance records told different stories about the same person hired.

Cash and the Books Behind the Books

Cash bribery can require a payment system beyond the ordinary expense process. TIGO Guatemala‘s deferred prosecution agreement contains admissions of cash delivered in duffel bags by helicopter for legislative bribery. The company described payments connected to spectrum and favorable telecommunications legislation.

Joint Ventures and Cash Advances

Joint ventures and acquired subsidiaries can carry local payment practices into a group’s accounts. The RAE Systems complaint alleged that warnings about bribery failed to produce controls over salespeople’s cash advances. An insider can know both how the cash was obtained and why the receipts used afterward did not match the expense.
