Reporting securities fraud from outside the United States can lead to an SEC whistleblower award. The Securities and Exchange Commission says you do not have to live or work in the United States to qualify. If you know how sales, expenses or transactions abroad differ from what investors were told, your knowledge may connect the public story to the records behind it.
This page follows foreign information and its connection to U.S. securities markets, including the distinction between an award and employment protection. Our broader page on reporting securities fraud to the SEC covers how business knowledge becomes information investigators can test.
The company’s place of incorporation, its operations, the place its securities trade and the location of its investors describe different parts of a securities fraud report. Your own location adds another fact. We examine those connections with you, starting with the company, the transaction and the statement you believe misled investors.
A foreign private issuer can have securities trading in the United States and business records prepared elsewhere. Its public reporting can also use different forms from those of a domestic company. The relevant comparison follows the issuer’s actual reports back to its operations: what investors were told, what the business recorded and who decided how to present the result.
Someone working with an underwriter or the external auditor may understand a discrepancy between the offering or report and the transactions behind it. We assess that person’s knowledge and role alongside the company’s connection to U.S. markets.
Luckin Coffee was a foreign private issuer whose American Depositary Shares traded on Nasdaq. The SEC’s accounting-fraud announcement alleged that the company fabricated more than $300 million in retail sales and inflated expenses by more than $190 million to conceal them. The SEC announced a proposed $180 million civil penalty, with credit for certain payments to security holders.
According to the SEC, the scheme used related-party purchasing, a false operating database and altered bank and accounting records. The SEC said the annual external audit uncovered it. For someone inside the business, that account points to more than the final revenue total: the customer relationship, operating system and payment records each supplied a way to examine the sales story.
The SEC’s complaint identified annual Form 20-F obligations and quarterly results furnished on Form 6-K. In the SEC’s account, fake sales needed fake expenses to look real.
People living and working abroad can qualify for the SEC whistleblower program, including foreign nationals. The SEC has reported awards to foreign recipients, and its rules allow individuals to qualify whether or not they work for the company they report.
The program rewards eligible individuals who voluntarily provide original information that leads to successful enforcement. Original information can come from firsthand knowledge or qualifying independent analysis. We examine what you know, how you learned it and what your information would add to the SEC’s understanding of the conduct.
Eligible SEC whistleblowers can share a total award of 10% to 30% of qualifying monetary sanctions collected. Under the SEC’s whistleblower rules, the SEC action must result in monetary sanctions exceeding $1 million.
A report gives the SEC information about possible misconduct, and the agency decides whether to bring an enforcement action. The claim for a whistleblower award is a separate part of the program. We work through both with you and SEC whistleblower counsel, keeping your contribution to the investigation connected to the award opportunity.
A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. The SEC program follows a separate information-and-award process, with its own requirements. An investor’s claim to recover an investment loss is separate again, so we identify which opportunity fits the information you bring.
For someone working abroad, we address employment protection separately from award eligibility with SEC whistleblower lawyers who understand international matters. Your employer, work location and any earlier reporting belong in that conversation. We handle questions about anonymity, confidentiality and information crossing borders with you, as part of the reporting plan for your circumstances.
Useful evidence connects what investors were told to the transaction, accounting entry or trading decision that tells a different story. For a report from abroad, we also connect those records to the issuer, offering or market involved. Someone who understands the local business can explain what a public filing leaves out.
An offering document describes what investors are being asked to fund. Subscription records and bank destinations show where their money went. In a business reporting sales, contracts, payment dates, entries and reversals help explain which transactions produced the reported revenue. The person who handled the contract or the payment may know why the accounting description does not fit the deal.
The reporting chain also includes the close, review of disclosures and officer certifications. Finance personnel maintain the ledger and prepare reports. The audit committee oversees the external auditor and accounting-complaint procedures. Communications and review records can help connect a disputed number to the people who questioned, approved or changed it. We follow that decision alongside the money.
The SEC’s complaint against Penn West Petroleum alleged that the Canadian issuer shifted operating expenses into capital accounts through unsupported entries and targets. The complaint used international accounting standards for the company’s reporting.
For a finance employee familiar with those accounts, the useful comparison joins the underlying expense to the entry and the operating result investors saw. Instructions and approvals can explain how the classification was chosen. The alleged improvement came from where the cost was recorded, giving someone who knew the accounts a specific decision to explain.
If you work with trading systems abroad, order timestamps, cancellations, code versions and communications can connect a suspected trading pattern to the decisions behind it. Custody records answer another question by connecting customer statements to confirmations and the authority to move assets. We use the records appropriate to the conduct, with your explanation of which system or business function produced them.
That inside knowledge has value beyond access to documents. Whistleblower Laws in the Financial Markets: Lessons for Emerging Markets, published in the Arizona Journal of International & Comparative Law in 2017, argues that supporting whistleblowers gives regulators access to information they might otherwise never obtain. An employee who understands how the business works can explain a transaction or instruction that is invisible in the public result. We build from that explanation and the evidence that makes it testable.
If you know which overseas sales, expenses or trading decisions contradict the story investors heard, speak with our whistleblower experts about that connection. We work beside you to build your strongest SEC whistleblower case around your knowledge, the evidence and its U.S. connection. We bring in SEC whistleblower lawyers experienced in international matters and remain your partners through the reporting and award process.
