Binary Options Investment Fraud: When the Seller Profits From Your Loss

Whistleblower Justice Network

In binary options investment fraud, the seller can hide who profits from a losing trade, distort the payout or keep investors from withdrawing their money. The customer sees a price, a countdown and an account balance. If you work on the platform, manage its selling partners or handle withdrawals, you may know who chose those terms and what happens to the money behind the screen.

This page follows the binary options platform from the sales promise to the payout and withdrawal decision. The broader broker-dealer fraud and misconduct page covers the firm’s recommendations, fees and handling of customer assets.

What Is a Binary Option?

A binary option pays according to the outcome of a yes-or-no proposition, typically whether an asset’s price will be above or below a specified amount when the contract expires. The Securities and Exchange Commission and Commodity Futures Trading Commission explain in their joint investor alert that the contract exercises automatically. The buyer receives a predetermined cash amount or nothing and does not acquire the right to buy or sell the underlying asset.

That structure puts the price, payout and expiration time at the center of what the customer buys. A person responsible for those settings can explain how the platform turns a market price into a customer’s win or loss.

A Winning Trade Can Pay Less Than a Losing Trade Costs

The joint alert illustrates the problem with a hypothetical contract offering a 50% gain against approximately a 100% loss. Even assuming a 50/50 chance of winning, the agencies explain, that payout structure produces a negative expected return. A salesperson advertising the winning payout alone leaves the cost of losing out of the pitch.

For a platform insider, the comparison is the return advertised against the payout schedule actually used. We connect the sales claim to those terms and to what the customer account recorded.

How Did Spot Option Allegedly Profit From Investor Losses?

Spot Option allegedly supplied the technology and business machinery for sellers who profited when their customers lost. In its April 2021 charging announcement, the Securities and Exchange Commission accused the Israeli-based company, renamed Spot Tech House, of fraudulent and unregistered online binary options sales. The agency alleged that the defendants made millions while deceiving U.S. investors out of more than $100 million.

According to the agency’s account of its complaint, Spot Option developed nearly all the products and services needed to sell binary options online, including the trading platform. It licensed them to white-label partners, the businesses that marketed directly to investors. Spot Option allegedly instructed those partners to promote binary options aggressively as highly profitable investments.

The complaint alleged that investors were not told the partners took the other side of every trade and profited when investors lost. Spot Option allegedly supported that arrangement with a manipulative payout structure, platform design that increased the chance of worthless expirations, and instructions to allow withdrawals of only part of the money deposited. We call that selling the win and banking the loss.

Partner instructions can connect what customers were told to decisions made above the individual sales desk. The alleged scheme reached the business supplying the system as well as the businesses using it.

When the Binary Options Countdown Moves

The joint investor alert describes complaints alleging that platforms distorted prices and payouts, including this example:

For example, when a customer’s trade is “winning,” the countdown to expiration is extended arbitrarily until the trade becomes a loss.

SEC and CFTC, Binary Options and Fraud, June 2013

For someone in engineering or platform operations, the useful comparison is the expiration promised to the customer against the time the system actually applied. Configuration history, trade records and instructions about changes are the places we would examine with you. In the agencies’ example, the countdown waits for the customer to lose.

Binary Options Withdrawals and the Account That Will Not Pay

Blocked withdrawals can expose the gap between an account balance and money the customer can actually receive. The joint alert describes customers encouraged over the telephone to deposit additional funds, followed by allegedly canceled withdrawal requests, uncredited accounts and unanswered calls or emails. Those complaints concern both original deposits and promised returns.

The Spot Option allegation adds an inside instruction to that customer experience: partners were allegedly told to permit only partial withdrawals of deposited money. A customer-support employee may see the request and the refusal. A partner manager or payments employee may know whether that refusal followed a rule, who set it and how it was applied across accounts.

The joint alert also describes identity-theft complaints involving collection of credit-card and driver’s-license data for unspecified uses. For an insider who knows why those documents were requested, we would examine the request language, the stated purpose and how the information was used.

What Evidence Shows Binary Options Investment Fraud?

The useful evidence connects the binary options sales promise to the platform’s settings, the party taking the trade and the movement of customer money. Our securities fraud evidence page explains the wider records trail. Here, the comparisons follow the platform’s own decisions.

The pitch and the partner instructions. Marketing material shows the return offered to investors. Partner agreements, sales instructions and communications can help explain who chose that promise and what the seller understood about the payout. In the Spot Option allegations, the instructions came from the supplier of the platform itself.

The trade and its counterparty. We examine the agreement and account records to identify the business on the other side of the customer’s trade. That is the connection behind the Securities and Exchange Commission’s allegation that white-label partners profited from investor losses. The same comparison can connect the selling business to the platform it licensed.

The displayed result and the software. Payout tables, configured expiration times and trade histories are ways to examine how the customer’s result was produced. If your work involved a change to those settings, the change and the instruction behind it give us a concrete event to investigate. The question follows the agency examples: what did the customer agree to, and what did the system apply?

The withdrawal request and the payment. Account ledgers, withdrawal decisions and payment records let us compare money credited on screen with money transferred to the customer. Partner instructions can explain a partial payment or refusal, while bank destinations help show where deposits went. This is the business record behind the customer saying the account would not pay.

What Can a Binary Options Insider Explain?

An insider can connect an investor’s experience to the people and instructions that produced it. Marketing may explain the promise, engineering the payout, customer support the withdrawal refusal, and finance the destination of the funds. We work with you to connect the part you know to the rest of the operation.

Broader fraud research shows why that knowledge deserves attention. The Significance of Whistleblowing as an Anti-Fraud Measure, published in the Journal of Forensic & Investigative Accounting in 2018, found that, in occupational frauds reported by fraud examiners, whistleblowing detected 35.9% of the sampled frauds, compared with 21.4% detected through internal controls.

Who Investigates Binary Options Investment Fraud?

The Securities and Exchange Commission and the Commodity Futures Trading Commission investigate binary options fraud. The securities regulator brought the civil action against Spot Option, alleging both deception and unregistered sales. The Commodity Futures Trading Commission’s binary options fraud advisory describes unregistered platforms, withdrawal refusals, identity theft and software manipulation. The joint alert distinguishes binary options involving securities from those involving commodities.

The Spot Option announcement credits assistance from the Israel Securities Authority and the United Kingdom Financial Conduct Authority in an action concerning a company based in Israel and investors in the United States and abroad. For an insider working across borders, we connect the location of the business, customers and records to the agencies that handle securities reports.

Whistleblower Awards and Investor Money

Eligible whistleblowers can receive 10% to 30% of the money collected in a qualifying Securities and Exchange Commission action with monetary sanctions over $1 million. Investor recovery and a whistleblower award serve different purposes. We assess the information you hold and the applicable program with you.

The False Claims Act addresses fraud against government money. A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. For someone inside a binary options business, the starting conversation is the platform’s conduct and the evidence you can explain.
