Reporting FCPA Violations Anonymously: Your Knowledge of the Payments Matters

Whistleblower Justice Network

To report bribery anonymously, start with our whistleblower experts so we can address your identity concerns alongside the payments you saw. You may know who approved the commission, why a reseller received an unusual discount, or why an invoice describes work no one performed. We connect that knowledge to evidence of violations of the Foreign Corrupt Practices Act and bring in FCPA whistleblower attorneys who can handle the reporting with you.

Are SEC Complaints Anonymous?

The Securities and Exchange Commission provides for anonymous whistleblower submissions. If you are asking how to report a company bribing foreign officials anonymously, we work through that question with you and the foreign-bribery whistleblower attorneys we bring into your matter. Anonymity and confidentiality belong in that conversation from the beginning.

Your knowledge of the business gives us a concrete starting point. The SEC’s whistleblower guidance identifies bribery of foreign officials as conduct it investigates and emphasizes specific transactions, people involved and nonpublic evidence. A payment approval, a conversation about its purpose or an explanation of who controlled the contract can make the concern more specific.

A Company Hotline and an Agency Report Serve Different Purposes

An internal company report and an SEC whistleblower submission are separate. The SEC’s program considers information provided to the agency, while a company complaint can trigger the company’s own investigation. We examine what you reported, who received it and what happened afterward as part of assessing your matter.

The allegations in the SEC’s order concerning Anheuser-Busch InBev show why the response deserves attention. An internal complaint raised concerns about a promoter’s activities in India, and the company accelerated an already planned audit. The order then says:

This audit did not scrutinize Promoter Company A’s activities or expenses.

In the Matter of Anheuser-Busch InBev SA/NV, SEC administrative order, September 28, 2016, paragraph 12

An employee also questioned another promoter’s lack of sales experience, staff and infrastructure, according to the SEC. That was knowledge about whether the business could do the work it was being hired to do. In the SEC’s account, the company answered a complaint about a promoter with an audit that skipped the promoter.

SEC Anonymous Whistleblower Attorney Certification

Whistleblower attorney certification for an anonymous submission is one of the requirements we address with the FCPA whistleblower attorneys handling your matter. Signed declarations, submission records and agency communications also belong in that work. The foreign-bribery whistleblower attorneys handle those requirements while we develop the account of the transactions.

Our role is to connect your experience inside the business with the records that explain it. An approval might identify the decision-maker, an invoice the stated service, and the payment record the recipient. The value is in understanding how those pieces fit and where your firsthand knowledge supplies the connection.

The SEC and Justice Department Have Separate Award Programs

The SEC and the Justice Department both address foreign bribery and operate distinct whistleblower award programs. The Securities and Exchange Commission enforces the Foreign Corrupt Practices Act for companies with U.S. securities reporting obligations, including foreign companies. The Justice Department’s Corporate Whistleblower Awards Pilot Program includes company-related foreign corruption among its covered subjects.

The Foreign Corrupt Practices Act also covers U.S. private companies. We assess the company and the payments together, bringing the agency and award questions into the same conversation as your evidence.

What an Insider Can Show

Foreign-bribery evidence can sit in ordinary sales, purchasing and accounting records. The person approving a payment, the intermediary receiving it and the official controlling the business decision may work in different organizations and countries. Someone who understands the transaction can explain the connection between them. A foreign official may work at a public hospital or state-controlled customer, so the connection can run through the buyer itself.

A supplier-approved discount changes the reseller’s margin. Comparing the discount request with the customer’s price shows who received the benefit, while the supporting messages can explain why the discount was requested.

A Discount for Competition the Tender Excluded

In its Oracle order, the SEC alleged that a sales representative in Turkey claimed intense competition to justify a large discount. The SEC said the public procurement records required Oracle products and that an employee in the United States approved the discount. It alleged that the extra margin increased a fund held by a distributor to finance bribes.

In the SEC’s account, the approval request and the tender told opposite stories about the same sale. We would want to understand who wrote the justification, who approved it and what the customer actually paid. A sales or finance employee who knows those details can explain the contradiction in terms an outsider could miss.

Marketing Requests Sized to Avoid Supporting Documents

The same Oracle order alleged that Turkish sales employees opened approximately $115,200 in marketing purchase orders, each below $5,000. Requests below that threshold could receive first-level approval without documents showing that the marketing activity occurred. The SEC also alleged that supervisors approved sham marketing reimbursements that increased funds held by channel partners.

We see a control that checked the bill’s size and skipped the work it supposedly paid for. An insider’s knowledge of the supposed event, the vendor and the approvals helps connect the accounting description to what actually happened.

When the Warning and the Next Payment Belong Together

A warning can explain what management knew before another payment went through. In its action against Fresenius Medical Care, the SEC alleged that a compliance directive prohibited using a Serbian agent, but an executive approved payments through a transport vendor that then paid doctors. The SEC order connects the instruction, the substitute payment channel and the recipients.

A case study published in the Journal of Forensic and Investigative Accounting in 2022, Fresenius Medical Care: A Case Study on the FCPA, examines how managers and employees bypassed controls despite flagged transactions. For someone in finance, compliance or internal audit, the unanswered concern and the next approval can be part of the same account.

The Securities and Exchange Commission also recognizes that new information can significantly contribute to an investigation already underway. We examine what your experience adds: a transaction, a participant, a document or an explanation of an approval.

Can I Report If I Am Outside the United States?

Yes, the SEC receives whistleblower information from outside the United States. Its annual report for fiscal year 2025 describes tips from around the world, including Canada, the United Kingdom, Italy, Germany and China. The program also accepts information from people who are not employees of the company they are reporting.

If your concerns include local employment law or handling company documents across borders, we address those with you and the foreign-bribery whistleblower attorneys working on your matter. Your job, where you work and how you learned about the payments belong in that conversation. If you approved a payment or otherwise took part in the conduct, we work through your own role with you too.

What Money Determines the Reward?

SEC whistleblower awards generally range from 10% to 30% of qualifying money collected through enforcement. The program covers successful SEC actions ordering more than $1 million in payments. We assess the information’s contribution and the applicable award program together.

A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. That is a separate framework for fraud against the government. Reporting Foreign Corrupt Practices Act violations proceeds through the agency programs discussed here.
