FCPA Reporting for Sales Staff, Agents, and Distributor Employees: You Know What the Customer Actually Paid

Whistleblower Justice Network

An FCPA whistleblower can be a distributor employee, sales representative or agent with information about foreign bribery. You may know the price the government customer actually paid, the commission an intermediary received or the side agreement behind a sale. Those details can connect a discount approved at headquarters to money used to influence an official. Your view from inside the sales channel can explain what the parent’s accounts leave out.

A distributor buys and resells the product. An agent may arrange introductions, handle government contact or perform local services. Each sees a different part of the transaction, and we work with you to connect the commercial decision, the payment and the person it benefited.

What Conduct Can Violate the FCPA?

The Foreign Corrupt Practices Act addresses corrupt offers, promises, authorizations and payments of value to foreign officials to obtain or retain business. The connection can be a contract, a license, an inspection or another official decision affecting the sale. The Justice Department and Securities and Exchange Commission’s Resource Guide explains why the offer or authorization can matter even before money reaches the official or a contract is won.

The official may work for your customer. Government-employed physicians, state-bank personnel and procurement staff at state-controlled businesses can fall within the law’s reach. A salesperson may deal with that person as a buyer every week. What matters is the power that person holds over your sale, and what the payment was meant to buy.

When a sales employee suspects an agent commission funded a bribe to a government customer, we examine what the commission bought. A message promising tender access, an instruction to pay an official’s connected business or a false invoice gives the commercial complaint a specific direction. We connect the disputed commission or lost tender to the promised benefit and the official decision.

The law also requires companies covered by its accounting provisions to keep accurate books and adequate accounting controls. A payment recorded as marketing or consulting can therefore matter alongside the underlying bribery. The expense description and the actual use of the money belong in the same account of what happened.

Is the FCPA Still Enforced?

Yes. The Justice Department’s 2025 pause did not repeal the Foreign Corrupt Practices Act. Under its 2026 deferred prosecution agreement, Scoular admitted paying bribes through customs brokers to pass Mexican inspections of agricultural shipments. Broker invoices called the payments reinspection fees.

Where the Payment Can Hide in a Sales Channel

A sales channel can put money for an official inside a reseller’s margin, a commission or a reimbursement. The employee who knows both the commercial explanation and the actual transaction can show where they diverged.

Distributor Discounts That Fund a Slush Fund

A distributor employee reporting an FCPA slush fund may know why a discount never reached the customer. The supplier approves a lower selling price, the reseller retains the difference and the government buyer pays without that reduction. The reseller’s records can reveal what happened to the retained money.

Under its 2019 criminal non-prosecution agreement, Microsoft Hungary admitted that employees falsely justified discounts as necessary for government sales. Resellers retained margins for improper payments instead of passing the discounts to customers. The false justifications entered Microsoft’s U.S. systems and consolidated records.

Oracle’s 2022 SEC order alleged a particularly revealing excuse for a discount in Turkey. A sales representative claimed intense competition, while the public procurement documents specified Oracle products. According to the order, a U.S. employee approved the discount without additional documentary support, and the representative used the excess margin to enlarge a slush fund. We see a remarkable excuse: a discount to beat competitors the tender had already excluded.

The SEC also alleged that Oracle staff split approximately $115,200 in Turkish marketing purchase orders into amounts below $5,000, where proof that the marketing occurred was not required. For a channel employee, the purchase orders and the work supposedly performed tell different parts of the story. Several approvals can conceal a single pool of money.

Commissions and Services That Exist on Paper

An agent commission can conceal an official payment behind a promise of local services. The useful connection runs from the engagement and promised work to the recipient and the government business obtained.

In its 2016 order concerning Anheuser-Busch InBev, the SEC alleged that promoters in India used excessive commissions and unsupported display reimbursements for improper payments to officials. The display charges followed beer volumes rather than documented spending on displays. An employee had raised concerns about a promoter’s lack of sales experience, staff and infrastructure. The agency also alleged that employees backdated a promoter’s contract and due-diligence paperwork.

Who performed the promotional work, how the reimbursement was calculated and when the contract actually appeared all bear on the payment’s purpose. The internal warning adds another question: what did management do after someone challenged the arrangement?

Tender Access, Trips and the Customer Relationship

An intermediary’s value to a sales team may be access to an official’s decision before competitors can see it. In its 2024 order concerning SAP, the SEC alleged that draft tender materials in Tanzania reached an account executive on a thumb drive and that executives arranged intermediary bribes for the materials. The order also described alleged bribe requests in messages between Indonesian account executives and intermediary employees.

The SEC quoted one account executive’s message to an intermediary employee:

Hehehe…This is government bro, to catch a big fish we need to use a large bait (sic).

In the Matter of SAP SE, SEC administrative order, January 10, 2024, quoting an employee message

The message makes the sales attitude unusually plain. We see an official’s influence treated as something to buy, with the intermediary expected to arrange the purchase. That is why the conversation behind a tender can matter as much as the eventual invoice.

Travel and family benefits can expose the same relationship. In its BHP Billiton order, the SEC alleged that hospitality applications omitted officials’ government status and pending business dealings, including a mining-permit negotiation involving a minister who attended the Olympics with his wife. For the employee managing the customer relationship, the relevant records connect the invitation and its approval to the business awaiting that person’s decision.

The Records That Connect the Decision to the Money

Sales-channel evidence becomes useful when it answers a question about a particular transaction. We connect what you know about the customer and intermediary to what the contracts, prices and payments say:

  • The official decision: tender specifications, pending approvals and messages about access to the people deciding the business.
  • The price and retained margin: discount requests, approval reasons, supplier invoices and the price charged to the end customer.
  • The service and beneficiary: agent agreements, side agreements, commission approvals, invoices, actual work and onward payments.
  • The company’s knowledge: internal warnings, disputed contract versions, accounting entries and the response when someone questioned the arrangement.

Bio-Rad’s distributor contracts show why the version used locally can matter. In its 2019 opinion in an employment case, the Ninth Circuit recounted concerns about unauthorized contracts in China translated from an older template that lacked the approved FCPA provisions. The court also described employee reports of shipments padded with free products while import/export cover sheets showed only the official quantities.

The contracts also contained unauthorized free-product incentives tied to sales targets, according to the court’s account. For someone handling distributor orders, that connects the sales incentive to the agreement, shipment and end-user records. The side arrangement may be visible in the goods leaving the warehouse as well as in the money leaving an account.

A 2017 teaching case in the Journal of Forensic & Investigative Accounting illustrates another way sales and accounting records can tell different stories. In the classroom scenario, international sales staff use an agent during government bids, authorize gifts and travel for police officials, and approve payments above actual testing costs. The payments to officials are recorded as firearms testing costs.

The sales team knows what it authorized, while the ledger supplies a different description. We work through that gap with you, connecting your experience to the transaction behind the accounting entry.

Can an Existing Investigation Still Use My Information?

Yes. Information from the sales channel can help an open investigation. We work through what your knowledge adds and what it could mean for an award with you.

For a distributor employee, the useful addition might be the actual customer price, a separate commission arrangement or the contract version the sales team used. Those details can explain a transaction investigators already know about. The Securities and Exchange Commission’s annual report describes a whistleblower whose assistance helped staff understand complicated transactions and relationships among entities and identify key witnesses and documents.

What If You Were Part of the Sales Process?

If you approved the discount, arranged the intermediary or received a benefit from the transaction, your own role belongs in the conversation with us. We work through that history with FCPA whistleblower lawyers who understand both the payment scheme and the award programs.

The same applies when your job combined sales with compliance, internal audit or investigation duties. How you learned the information and what you did with it require individual attention. Questions about anonymity or handling company documents are also matters we address with you and FCPA whistleblower counsel.

Can a Distributor Employee Receive a Whistleblower Reward?

A distributor employee or intermediary employee can potentially qualify for a foreign bribery whistleblower reward under the SEC program. The program rewards eligible individuals, and the person supplying information need not work for the multinational itself.

The SEC’s fiscal-year 2025 annual report states the central requirements: voluntary original information leading to successful enforcement with monetary sanctions exceeding $1 million. Eligible whistleblowers receive an aggregate award of 10% to 30% of qualifying sanctions collected.

The Justice Department’s Corporate Whistleblower Awards Pilot Program is a separate discretionary program for individuals. We work out which program fits your information and bring in FCPA whistleblower counsel who know both programs.

Reporting information and claiming an FCPA whistleblower award are separate parts of the process. We stay with you through that process, connecting the information you supplied and the assistance you gave to the government’s result.

A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. That separate law concerns fraud against the U.S. government. FCPA foreign-bribery reporting uses agency enforcement and award programs.

Can I Report If I Am Outside the United States?

Yes. The SEC receives whistleblower information from outside the United States, and foreign nationality alone does not exclude someone from its award program. A foreign company’s U.S. securities listing can bring it within the Foreign Corrupt Practices Act. For a sales or distributor employee overseas, we examine that connection and the transaction with you. Questions about local employment, privacy and transferring documents belong in that conversation with FCPA whistleblower lawyers.
