In the Energy Transfer Houston Ship Channel manipulation settlement, the company agreed to a $10 million civil penalty after the Commodity Futures Trading Commission alleged the company sold gas to push down the index used to price its basis swaps. For a gas scheduler or basis trader, the connection is familiar: the price accepted on a physical sale can affect another position. What the desk expected to gain from that connection is the heart of this case.
The Commodity Futures Trading Commission alleged that Energy Transfer used large physical gas sales to put downward pressure on prices at the Houston Ship Channel delivery hub, then reported those transactions to Inside FERC Gas Market Reports. According to the agency’s settlement announcement, the alleged conduct ran from September to early December 2005, targeting the October and December monthly indexes.
According to the commission, Energy Transfer held financial basis swaps tied to those Houston Ship Channel index prices. The agency alleged that the company tried to benefit those positions by pushing the physical price down.
This is the connection that makes physical commodity and energy manipulation an issue across trading books. For others selling at the published index, the alleged strategy turns a shared market price into a tool for someone else’s swap book. We see the wrong in that: the desk seeks a benefit on its own position by pushing down a price other sellers depend on.
The commission said the vast majority of both the physical gas transactions and the financial basis swaps at issue took place on the IntercontinentalExchange. The trading venue therefore connected both sides of the alleged strategy, while reporting the sales to Inside FERC connected the physical transactions to the published index. The trade, the report and the swap each had a different job.
Bidweek trading brings the timing of physical sales and exposure to monthly gas indexes into the same commercial decision. An insider’s account of why the desk wanted a particular index to fall can explain a sale that otherwise looks puzzling. The useful comparison is between what the business traded during that period and the positions it had already built around the resulting price.
The 2017 Energy Law Journal Report of the Compliance & Enforcement Committee describes a close parallel in National Energy & Trade’s gas trading. The report recounts Federal Energy Regulatory Commission staff allegations that the company sold physical basis at Tetco M3 at arbitrarily low prices early in the morning during bidweek to benefit a large short financial basis position acquired beforehand. It also describes allegations that the company traded physical basis at Henry Hub during another bidweek to benefit exposure to the Henry Hub Inside FERC index. National Energy later settled those allegations.
In the alleged bidweek strategy, the financial exposure came first. The later physical sales served a position already on the books, which is why the order of the decisions matters to an insider reviewing similar trading today. The perverse commercial logic is in the allegation itself: a gas desk can want less for its product when a linked position gains from the lower price. Less for the gas, more for the swap.
For a Houston Ship Channel trading concern, useful evidence connects the physical sales, the index reports, the related swaps and the decisions behind them. A scheduler may understand the gas movement, while a basis trader understands the index exposure. We examine how those accounts fit the transactions and the desk’s communications:
The 2024 draft working paper An Analysis of Market Manipulation Definitions Around the World, from a World Federation of Exchanges research project, explains why the view across books matters. It describes cross-market strategies involving different instruments, counterparties and desks, with profits taken elsewhere. Its discussion of commodity manipulation emphasizes examining the circumstances together to understand the ability and intent to move a price.
Applied to this case’s alleged mechanism, that means reading the sales beside the exposure and the instructions. We would examine why the desk wanted the index lower, which position would benefit, and how the reported sales were intended to move it. Your knowledge of the business can supply the connection between records that otherwise appear to concern separate jobs.
Enron‘s gas-trading allegations, in the Commodity Futures Trading Commission’s account of the action, concerned Henry Hub spot purchases intended to affect correlated NYMEX futures prices. The comparison shows why a physical gas transaction belongs beside the financial position that benefits from the price movement.
Amaranth’s alleged mechanism began in the futures market. The Commodity Futures Trading Commission alleged that it sold natural-gas futures during expiry windows to benefit related positions. Energy Transfer’s alleged mechanism ran through physical Houston Ship Channel sales and the monthly Inside FERC index. That difference tells us which trading period, price report and exposure to examine with an insider.
The CFTC whistleblower program can pay qualifying whistleblowers a combined 10% to 30% of monetary sanctions collected through qualifying enforcement actions. We assess the trading information you hold and how it could support a commodity manipulation case. The value of an insider’s account may be the explanation of a desk’s objective, including why it wanted the local price to move in a particular direction.
A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. That is a separate reward system from the CFTC program relevant to commodity manipulation, and we work with you on the route that fits the conduct you saw.
If you can explain the connection between a gas sale, an index report and the swaps behind it, talk with our whistleblower experts about the trading you saw. We bring in commodity and energy manipulation whistleblower lawyers who understand physical gas and basis exposure. From the first conversation through the case, we stay beside you to build your strongest commodity manipulation whistleblower case.
