Acquired Company Antitrust Misconduct: The Deal Closed but the Cartel Kept Going

Whistleblower Justice Network

Acquired company antitrust misconduct can continue after closing when legacy employees keep coordinating with a competitor through the business the buyer has just bought. Under its criminal deferred prosecution agreement, EBLOCK admitted that legacy employees hid a used-vehicle auction scheme while management tried to stop it. For someone inside an acquired business, the important distinction is between what management announced and what people kept doing. The old auction accounts, shared bidding information and software may tell a different story from the integration plan.

What Continued After the Acquisition?

The EBLOCK scheme entered the company through an acquired auction business whose bid coordination and resale practices continued after closing.

Legacy Employees Hid the Cartel From New Management

The EBLOCK case supplies the full record behind the acquisition, discovery, platform change and cessation dates examined here. In its criminal agreement, EBLOCK said the conduct was unknown to it when it acquired the assets of the auction business, called Company A in the agreement, on November 20, 2020. Its executives first learned about the coordinated bidding, including automated shill bidding, around January 21, 2021.

The acquisition had left much of the old operation in place. According to the same criminal agreement, pandemic travel restrictions prevented EBLOCK executives from traveling to the United States for due diligence, meetings with incoming employees and integration. EBLOCK relied on a management agreement for daily operations and retained former Company A executives and managers. The auctions initially continued on a separate platform hosted by a third party.

EBLOCK refused to bring the automated shill-bidding feature into its own platform when the auctions migrated on July 12, 2021. It withheld the wholesaler owner’s special platform access, ended the profit-sharing agreement and tracked down dealership names being used to hide fake bids.

The employees adapted. The admitted facts say they used other dealer names to disguise the wholesaler owner’s bids and continued supplying vehicle information outside the new platform’s controls. Fake-dealer bids dropped after migration, but concealed conduct continued until February 2022. The agreement credits EBLOCK’s repeated efforts with ending it.

The software changed. The relationship between the employees and the outside wholesaler survived the change. That is why the migration records and the communications outside the platform belong in the same account of what happened.

What Does an Acquiring Company Know Before and After Closing?

The buyer’s discovery date matters. The Justice Manual’s March 2024 acquisition provisions distinguish what a buyer learned during due diligence from what it later told the government. EBLOCK’s criminal agreement shows a different problem: new employees initially operated on a platform outside the buyer’s control, then bypassed controls on its replacement.

For an insider, the useful facts are who first received the information, what it showed and what business activity continued afterward. A warning received during diligence and a problem first exposed during integration belong at different points in that chronology. We work through those facts with you and antitrust whistleblower lawyers who understand acquisition disclosures.

What Records Show an Inherited Cartel?

We work with you to connect what you personally saw to what the business’s records show before and after the acquisition. Bids, account permissions and shared profits can expose how the arrangement survived the deal.

In an auction business like Company A, bid histories could connect the stated maximum bid to the bid actually placed. Permission logs could show which outside accounts could see confidential information. Inventory records and profit ledgers could connect a purchased vehicle to its resale and the division of the proceeds.

The software history could answer a different question: which functions moved to the buyer’s platform and which employees continued the arrangement elsewhere? A developer may understand the automated bidding feature. An operations employee may recognize the dealership accounts used to place bids. A manager may know when an instruction reached the people running the auctions and what they did afterward. Those perspectives help connect a technical change to the business conduct it was meant to end.

Someone who worked in the acquired business may explain how its records connect to the continuing agreement; see the insider-evidence discussion.

Hiring Agreements Can Surface in Acquisition Records

The Knorr-Bremse and Wabtec complaint alleged that a no-poach arrangement continued until at least 2015 before an acquisition announcement prompted Knorr to recruit Faiveley employees. Wabtec announced its proposed acquisition of Faiveley in July 2015.

The alleged restraint reached job opportunities. Recruiting instructions and communications between executives showed who was allowed to pursue whom, and how that changed when a deal was announced. An employee integrating hiring systems may recognize a restriction that never appears in the acquired company’s sales prices.

What Is the Leniency Program for Individuals and Corporations Involved in Criminal Antitrust Activity?

We work through questions about the Antitrust Division’s leniency program with you and antitrust whistleblower lawyers, including how the company’s response relates to your own role. If your work touched the conduct, or you have concerns about anonymity or retaliation, those belong in that conversation.

What Does EBLOCK’s Award Show?

EBLOCK shows that a whistleblower reward and company cooperation can occur in the same matter. Its criminal agreement credits the company’s cooperation with the investigation. The EBLOCK account documents a $1 million award after the acquired business’s conduct was exposed.

The announcement describes program awards ranging from 15 to 30 percent of the money collected. It also identifies the postal connection in EBLOCK’s scheme: supporting documents sent through the U.S. Mail.

The award also concerned conduct that had already ended. The department expressly said new information can assist a case even after the criminal activity stops. For an employee who recognizes the old arrangement in archived bids or system records, the company’s change of ownership and later efforts to end the conduct are part of what we examine with you.

Government Contracts Can Support a Different Whistleblower Case

Berg Companies provides a comparison involving an acquired business, company cooperation and a civil False Claims Act recovery. Hunter Defense Technologies acquired the rigid-wall shelter manufacturer in September 2019. The government alleged bid rigging involving Berg’s shelters from 2019 to 2021.

In the civil settlement announced in July 2025, Berg agreed to pay $3.3 million. It admitted coordinating with a prime vendor and sub-vendors and submitting inflated quotes so the sub-vendors would win awards at inflated prices. The government’s allegation was that military customers overpaid for the shelters. The supposed competing bids came from businesses coordinating the outcome.

Berg received cooperation credit after investigating internally, cooperating with the government and voluntarily disclosing an issue the government did not already know about. The same settlement resolved claims brought by whistleblowers and provided them a share of the recovery.

Here, the government purchases supplied the connection to the False Claims Act. A whistleblower case under the False Claims Act can pay 15% to 30% of what the government recovers. We assess the government-payment evidence alongside the collusion when an acquired business sells through public contracts.
